These terms are the agreement between you and Eric Erickson, a sole proprietorship (“we”, “us”), covering your use of E2 AI Labs at e2ailabs.com. By using the service you accept them. If you do not accept them, do not use the service.
What we provide
E2 AI Labs is a studio building websites and AI tools for local businesses. We provide it on a commercially reasonable-effort basis. We do not promise uninterrupted or error-free operation, and we may change or discontinue features. If we discontinue a paid feature you have already paid for, you get a pro-rata refund.
Your account and your conduct
- You are responsible for keeping your login credentials secure and for everything done through your account.
- You must be at least 13 years old, and old enough in your jurisdiction to enter a binding contract.
- You must not use the service to break the law, infringe anyone's rights, send unsolicited bulk messages, or attack, overload or reverse-engineer the service.
- You must give accurate billing information.
Fees and billing
The service is offered as quoted project fees, and monthly service plans where one applies. Prices are in US dollars and exclude any tax we are required to collect. We may change prices, but never for a billing period you have already paid for, and we will give at least 30 days' notice before a change affects a renewal.
Automatic renewal — please read
Your subscription renews automatically at the end of each billing period, and we charge your payment method on file, until you cancel. This section exists because California's Automatic Renewal Law requires us to say it clearly rather than bury it.
- What you are agreeing to: recurring charges at the plan price shown at checkout, once per billing period.
- How to cancel: from your account settings at any time, or by emailing billing@e2ailabs.com. Cancellation is effective at the end of the current period — we do not cut off access you have already paid for.
- No cancellation obstacle course. Cancelling takes the same number of steps as subscribing. We will not require a phone call or a retention conversation.
- Before renewal, we send a reminder to your email with the amount, the date, and a direct cancellation link.
Content you submit
You keep ownership of business information and call data you provide. You do not transfer any copyright to us by using the service.
You grant us a limited, non-exclusive, revocable licence to store, process, transmit and modify that content only to the extent needed to provide the service to you — for example, to process an audio file you asked us to process. This licence ends when you delete the content or close your account. We will not use your content to train models, license it to third parties, or use it in marketing without your separate written permission.
You promise that you own or are licensed to submit the content, and that processing it will not infringe anyone else's rights. This matters: if you upload material you do not have the rights to, you are responsible for the consequences, not us.
About AI output
Parts of this service generate output using AI models. AI output is probabilistic and can be wrong, incomplete or inappropriate even when the system is working correctly. Do not rely on it for legal, medical, financial or safety decisions without human review. You are responsible for checking output before you act on it or publish it, and for any consequence of using it. We make no warranty that output will be accurate, original, or fit for a particular purpose.
Our intellectual property
The service, its software, design and brand belong to us. We grant you a personal, non-transferable, non-exclusive right to use it while you comply with these terms. You may not copy, resell or create derivative works from it.
Suspension and termination
You may stop using the service at any time. We may suspend or terminate access if you materially breach these terms, if we are legally required to, or if your use threatens the security or stability of the service. Except where the breach is serious or unlawful, we will give notice and a chance to fix it first. On termination you may export your data for 30 days.
Disclaimer of warranties
To the fullest extent the law allows, the service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Some jurisdictions do not allow these exclusions, in which case they do not apply to you.
Limitation of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill or data, however caused. Our total liability for any claim is limited to the greater of the amount you paid us in the 12 months before the claim arose, or $100.
Nothing here excludes liability that cannot lawfully be excluded, including for fraud, or for death or personal injury caused by negligence.
Indemnity
You agree to indemnify us against third-party claims arising from your breach of these terms, your misuse of the service, or content you submitted that you did not have the rights to.
Disputes
Talk to us first. Email legal@e2ailabs.com with the problem and give us 30 days to resolve it. Most disputes end here.
If that fails, these terms are governed by the laws of the State of California, without regard to conflict-of-law rules, and the courts of Los Angeles County, California have exclusive jurisdiction. You keep the right to bring a qualifying claim in small claims court.
General
- If any provision is unenforceable, the rest stands.
- Our not enforcing a term is not a waiver of it.
- You may not assign these terms; we may assign them to a successor in a merger or sale of the business.
- These terms are the entire agreement between us about the service.
Changes
We may update these terms. For material changes affecting your rights or price, we give at least 30 days' notice by email or in-product notice. Continuing to use the service after that means you accept the new terms.
